Introduction to the Terms of Use
Our online store, Quafila, welcomes you and informs you that you will find below the terms and conditions governing your use of this store and all legal effects arising from your use of the store’s services through the Internet and this electronic platform.
Any person’s use of the store, whether as a consumer of the store’s services or products or otherwise, constitutes approval and acceptance by that person, provided that they have the legally recognized capacity under Sharia and applicable laws and regulations, of all provisions and terms of this Agreement. Such use also constitutes confirmation of their commitment to comply with its terms and conditions.
This Agreement applies to all types of transactions between the consumer and the store. This Agreement shall become effective and enforceable once you accept it and begin registering with the store, pursuant to Article Ten of the Saudi Electronic Transactions Law.
Article One – Introduction and Definitions
The above introduction constitutes an integral part of this Agreement. The following definitions explain the key terms used throughout this Agreement:
1. “Store”
This term includes all forms of the store on the Internet, whether an electronic application, website, or physical commercial store.
2. “Consumer”
The person who engages in electronic commerce with the intention of obtaining the products or services provided by the store through its electronic platform.
3. “Agreement”
This term refers to the terms and conditions of this Agreement, which govern and regulate the relationship between the parties to this Agreement.
Article Two – Legal Capacity of the Consumer
1. The Consumer declares that they have the legally recognized capacity under Sharia and applicable laws and regulations to transact with the Store, or that they are at least eighteen (18) years of age.
2. The Consumer agrees that, if they violate this Article, they shall bear the consequences of such violation before third parties.
Article Three – Nature of the Store’s Obligations
1. The Store’s obligation toward consumers is to provide the service or product purchased by the Consumer.
2. The Store may provide additional services, such as after-sales services or other related services, depending on the nature and type of the service or product requested by the Consumer.
Article Four – Rules of Use
1. The Consumer agrees to use the Store’s electronic platform in accordance with public morals and the laws and regulations applicable in the Kingdom of Saudi Arabia.
2. When purchasing a service or product from the Store, the Consumer agrees not to use such service or product in any manner that violates public morals or the laws and regulations applicable in the Kingdom of Saudi Arabia.
Article Five – Accounts and Registration Obligations
Upon submitting a request to register for membership with the Store as a user, you are required to provide certain information and select a username and confidential password to access the Store’s services. By doing so, you agree to the following:
1. You are responsible for maintaining the confidentiality of your account information and password. You also agree to immediately notify the Store of any unauthorized use of your account information or any other breach of your confidential information.
2. The Store shall not, under any circumstances, be responsible for any direct or indirect, moral or material loss that may result from the disclosure of your username or password.
3. You agree to use your account or membership with the Store personally and remain fully responsible for it. If another person uses your account, this shall be deemed evidence that you have authorized that person to use the Store in your name and on your behalf.
4. You agree to use the Store with seriousness and good faith.
5. You agree to provide true, accurate, current, complete, and lawful information about yourself as required during registration with the Store, and to update such information whenever it changes or whenever necessary.
6. Our Store undertakes to treat your personal information and contact details with complete confidentiality.
7. If the Store determines that you have provided information that is false, inaccurate, outdated, incomplete, unlawful, or contrary to this Agreement, the Store reserves the right to suspend, freeze, or cancel your membership or account on the platform, without prejudice to any other rights or lawful remedies available to the Store to recover its rights and protect other consumers.
8. In the event of failure to comply with any of the above provisions, the Store’s management shall have the right to suspend or cancel your account or membership or prevent you from accessing the Store’s services again.
Article Six – Electronic Communications and Official Means of Communication
1. The parties to this Agreement agree that communication shall take place through the email address registered on the platform.
2. The Consumer agrees that all agreements, announcements, statements, and other communications provided electronically shall have the same legal effect as their written counterparts and shall constitute valid evidence for fulfilling applicable legal and Sharia requirements.
3. The Consumer agrees that the Store’s management may contact and notify them of any provisions relating to this Agreement or their transactions with the Store by sending general messages to all consumers or specific users of the Store.
Article Seven – Amendments to the Terms of Use and Fees
1. If any provision or clause of this Agreement is cancelled or becomes invalid or unenforceable, this shall not affect the validity of the remaining provisions, clauses, rules, and terms of this Agreement, which shall remain in force until otherwise notified by the Store’s management.
2. This Agreement, which may be amended from time to time as circumstances require, constitutes the operating mechanism and understanding and agreement between the Consumer and the Store.
3. The Store may impose fees on certain consumers depending on the offers, products, or services they request, or on any fees or taxes imposed by the government on the nature of the relevant product or service.
4. The Store reserves the right to add, increase, reduce, or waive any fees or expenses in accordance with the provisions and terms of this Agreement, regardless of the reason for the Consumer’s registration.
Article Eight – Payment and Settlement Services
1. The Store provides payment and settlement services through its payment partners. Payment may be made entirely online through the payment options available on the Store or through any other payment method provided by the Store from time to time.
2. The Store shall determine the price of the services or products offered in accordance with the prevailing market value.
3. The Store shall provide invoices, payment receipts, and delivery receipts for all amounts and revenues generated through the Store and shall provide the Consumer with an invoice for the purchase of any service or product.
4. The Store shall maintain generally accepted accounting practices for its electronic store in accordance with this Agreement and in consideration of the legal, economic, commercial, and regulatory interests served by such practices.
Article Nine – Intellectual Property Rights
1. All intellectual property rights relating to the Store are fully owned by the Store, whether such rights were owned before the establishment of this electronic platform or acquired thereafter.
2. The Consumer shall respect the Store’s intellectual property rights, including the Store’s name, words, logos, symbols, and other distinctive elements belonging to or displayed by the Store. All rights associated with the Store’s name and identity are fully protected intellectual property rights of the Store.
Article Ten – Store Liability
1. The Store undertakes to conduct its commercial activities through this electronic platform in accordance with the laws and regulations applicable in the Kingdom of Saudi Arabia and in accordance with the provisions of this Agreement.
2. The Store shall not be liable for claims arising from errors or negligence, whether directly, indirectly, incidentally, or as a result of actions by the Consumer or a third party, such as shipping companies, to the extent permitted by applicable law.
3. The Store, its employees, owners, and representatives undertake that the products or services offered through the Store are lawful, compliant, and authorized in accordance with the laws and regulations of the Kingdom of Saudi Arabia and are intended for lawful purposes.
Article Eleven – Restriction of Access or Membership
The Store may suspend or cancel the Consumer’s membership or restrict the Consumer’s access to the platform’s services at any time, subject to applicable laws and regulations.
Article Twelve – Applicable Law
This Agreement shall be governed by and construed in accordance with the laws, regulations, and legislation applicable and in force in the Kingdom of Saudi Arabia. It shall be fully subject to the laws and regulations enforced by the competent authorities in the Kingdom of Saudi Arabia.
Article Thirteen – General Provisions
If any provision or clause of this Terms of Use Agreement is cancelled or becomes invalid or unenforceable, this shall not affect the validity of the remaining provisions, clauses, and terms of the Agreement, which shall remain in force until otherwise notified by the Store’s management.
This Terms of Use Agreement, which may be amended from time to time as circumstances require, constitutes the agreement, operating mechanism, understanding, arrangement, and contractual relationship between the Store and the Consumer. Both parties also agree that the following shall be taken into consideration:
1. Arabic shall be the governing language for interpreting the provisions of this Agreement or when this Agreement is translated into another language.
2. All prices displayed for the Store’s services or products may be changed from time to time.
3. Promotional or marketing offers provided by the Store are temporary offers. The Store reserves the right to modify or discontinue such promotional or marketing offers at any time.
4. The parties to this Agreement shall conduct their dealings with each other in a manner that does not violate Sharia principles or the applicable rules, laws, and regulations relating to the nature of the relationship between the Store and the Consumer.
5. This Terms of Use Agreement may only be terminated pursuant to a decision issued by the Store’s management.
